Summary of Bylaws
The Academy’s bylaws provide the framework for how we govern ourselves and carry out our mission. They define our structure, roles, and responsibilities as a nonprofit organization dedicated to advancing public health through education and the responsible use of artificial intelligence in dentistry.
Purpose and Mission
The bylaws establish the Academy as a charitable, educational, and scientific organization. They reinforce our commitment to transparency, public benefit, and ethical stewardship as we help the dental community and the public understand and safely incorporate emerging AI technologies.
Membership
The Academy includes several membership categories for dental professionals, students, institutions, and other supporters. Voting rights and eligibility for leadership vary by category. A limited number of invitation-only Public Members may be appointed in keeping with IRS requirements.
Board of Trustees
A Board of Trustees oversees the Academy’s direction, ensures compliance, and maintains high standards of governance. Trustees serve defined terms and meet regularly to review policies, initiatives, and organizational progress.
Officers
The Officers—President, Vice President, and Secretary/Treasurer—are responsible for day-to-day leadership. Officers must reside in the United States and serve according to the terms outlined in the bylaws.
Councils, Committees, and Advisory Bodies
To guide key areas such as education, ethics, and public engagement, the Academy may establish councils, committees, and an advisory board. These groups offer specialized insight and help members participate meaningfully in the Academy’s work.
Financial and Ethical Standards
The bylaws outline expectations for careful financial management, budgeting, and conflict-of-interest disclosures. Trustees and Officers do not receive compensation, aside from reasonable expense reimbursement where appropriate.
Amendments and Compliance
Changes to the bylaws must follow formal procedures and remain consistent with federal nonprofit requirements. Should the Academy dissolve, all assets must be distributed to another qualifying nonprofit or government entity.
